Who We Are

Governance Consulting Rooted in Malaysian Business Reality

Calderis began as a response to a gap that its founders observed repeatedly: Malaysian organisations — whether family-owned enterprises, growing SMEs, or companies preparing for institutional investment — often lacked access to governance and structural expertise that was practical, honest, and appropriately sized for their circumstances.

Large advisory firms bring broad resources but rarely the focused attention that a specific governance challenge demands. Calderis was built to be different — a practice where senior consultants remain closely involved throughout each engagement, and where the advice given reflects genuine understanding of the Malaysian business environment.

Our work is built around three areas: governance architecture, board effectiveness, and corporate structure. We do not try to be all things to all clients. We have chosen to go deeper in these areas rather than wider, and we believe that focus produces better work.

Our Mission

To help Malaysian organisations build governance and structural foundations that serve them well — through engagements that are thoughtful, clearly scoped, and genuinely useful.

Our Values

  • Honesty — We tell clients what we observe, not what is comfortable to hear.
  • Discretion — Client information is handled with full confidentiality, always.
  • Precision — We are careful with scope, language, and deliverables.
  • Respect — We adapt to each organisation's culture and pace.

Our Approach

Every engagement starts with listening. We spend time understanding your organisation's history, dynamics, and aspirations before any advisory work begins. This shapes the quality of everything that follows.

How We Work

Our Professional Standards

The standards we hold ourselves to are not guidelines — they are the basis of every client relationship we build.

Professional Ethics

We operate to the highest standards of professional conduct. Conflicts of interest are disclosed and managed proactively, and we will decline engagements where our independence could be compromised.

Confidentiality Protocol

Non-disclosure agreements are standard. Client materials are stored securely, access is limited to engaged team members, and all documentation is returned or destroyed at engagement close if requested.

Clear Engagement Terms

Every engagement is governed by a written scope of work. Changes to scope are discussed openly and documented before additional work proceeds. We do not expand engagements without client agreement.

Senior Involvement

The consultant you meet during scoping is the consultant who leads your engagement. We do not hand client work to junior staff. The experience you are paying for remains present throughout.

Iterative Review Process

Deliverables go through a structured internal review before they are shared with clients. We build in time for client feedback and revision within each engagement's timeline.

Malaysian Regulatory Awareness

Our advice is contextualised to the Malaysian legal and regulatory environment — SSM requirements, Bursa governance standards, MACC compliance considerations, and relevant Companies Act provisions.

Our Depth

Governance and Structure Expertise for Malaysian Organisations

Governance in Malaysian organisations reflects a particular set of pressures — the interplay between controlling shareholders and independent oversight, the evolution from founder-led management to professional boards, and the increasing expectations of institutional investors, regulators, and financing partners. Navigating this well requires more than a borrowed framework from another market.

Calderis has developed its practice specifically within this context. Our work on governance framework development addresses the practical realities of Malaysian board composition — including nominee director dynamics, family representation, and the translation of governance principles into protocols that people will actually follow.

In corporate structure work, we understand that many Malaysian groups have entity layers accumulated over years of organic growth or acquisition. Rationalising these structures requires careful attention to SSM filing obligations, tax implications under the Income Tax Act, and sometimes the unwinding of arrangements that served a historical purpose but create friction today.

We work best with clients who value precision, appreciate direct and honest feedback, and understand that good governance is built incrementally rather than overnight. If that describes your organisation, we would be glad to have a preliminary conversation.
